1. Acceptance of Terms

The Burgg shall have the right, at its sole discretion, to modify of replace the Terms of Use at any time, which modification shall be effective immediately upon posting.

3. Availability

This Service is provided by The Burgg on an "AS IS" and "AS AVAILABLE" basis and The Burgg reserves the right to modify, suspend or discontinue the Service, in its sole discretion, at any time and without notice. You agree that The Burgg is and will not be liable to you for any modification, suspension or discontinuance of the Service.

4. Registration

In order to access some features of the Website, you must register a member account. When and if you register to become a member, you agree to provide accurate, current, and complete information about yourself as prompted by the appropriate registration form. 5. Intellectual Property Rights

The Burgg owns and retains all proprietary rights of all material on the Website, including text, graphics, software, videos, trademarks, service marks and logos, with the exception of User Submissions (as defined below). You may not copy, alter, or distribute any such information without prior written authorization from The Burgg.

6. User Submissions

You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that you own or have the necessary licenses, rights, consents, and permissions to use and authorize The Burgg to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service. For clarity, you retain all of your ownership rights in your User Submissions. However, by submitting the User Submissions to The Burgg, you hereby grant The Burgg a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the The Burgg Website and The Burgg's (and its successor's) business, including without limitation for promoting and redistributing part or all of the The Burgg Website (and derivative works thereof) in any media formats and through any media channels. You also hereby grant each user of the The Burgg Website a non-exclusive license to access your User Submissions through the Website, and to use, reproduce, distribute, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. The foregoing license granted by you terminates once you remove or delete a User Submission from the The Burgg Website.

You further agree that you will not: (i) submit material that is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant The Burgg all of the license rights granted herein; (ii) publish falsehoods or misrepresentations that could damage The Burgg or any third party; (iii) submit material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (iv) post advertisements or solicitations of business: (v) impersonate another person. The Burgg does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and The Burgg expressly disclaims any and all liability in connection with User Submissions. The Burgg does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and The Burgg will remove all Content and User Submissions if properly notified that such Content or User Submission infringes on another's intellectual property rights. The Burgg reserves the right to remove Content and User Submissions without prior notice. The Burgg will also terminate a User's access to its Website, if they are determined to be a repeat infringer. A repeat infringer is a User who has been notified of infringing activity more than twice and/or has had a User Submission removed from the Website more than twice. The Burgg also reserves the right to decide whether Content or a User Submission is appropriate and complies with these Terms of Service for violations other than copyright infringement and violations of intellectual property law, such as, but not limited to, pornography, obscene or defamatory material, or excessive length. You understand and agree that The Burgg may review and delete any User Submissions that in the sole judgment of The Burgg violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of Members.

You agree that your use of the The Burgg Website shall be at your sole risk. To the fullest extent permitted by law, The Burgg, its officers, directors, employees and agents disclaim all warranties, express or implied in connection with the website and your use thereof. The Burgg is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service. The Burgg assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Member communications. The Burgg is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any website or combination thereof, including injury or damage to users and/or Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. 10. Indemnity

Upon termination of your account, your right to use the Services will immediately cease. If you wish to terminate your member account, you may simply discontinue using the Services. All provisions of the Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
